Terms of Service

1. Acceptance of Terms

By accessing or using the AutoMagic Labs platform (“Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. AutoMagic Labs (“AML,” “we,” “our”) reserves the right to modify these terms at any time.

2. Description of Service

AutoMagic Labs provides vehicle listing audit and merchandising intelligence tools for automotive dealers. Our services include VDP Audits, VDP Boost, Treasure Hunter Score, and TurnSignal. The Service compares vehicle listings against factory build data to identify missing features, trim mismatches, and revenue opportunities.

3. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration.

4. Free and Paid Services

AML offers a free tier of VDP Audits with monthly usage limits. Additional audits, batch processing, and advanced features may require a paid subscription. Usage limits are determined by your account role and may be adjusted by AML. Current limits are visible in your account settings.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, scrape, or extract data from the Service beyond normal use
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials with unauthorized third parties
• Use automated tools to access the Service beyond the provided API, without prior written consent
• Misrepresent audit results or use them in a misleading manner

6. Intellectual Property

The Service, including the Treasure Hunter Score methodology, audit algorithms, and all associated software, is the intellectual property of AutoMagic Labs. Audit reports generated for your vehicles are provided for your use in merchandising those vehicles. You may not resell, redistribute, or commercially exploit the underlying scoring methodology or algorithms.

7. Data Accuracy

AML strives to provide accurate audit results by cross- referencing factory build data, marketplace listings, and proprietary scoring algorithms. However, we do not guarantee the accuracy, completeness, or timeliness of any audit results. Audit reports are provided “as is” and should be verified against your own records before making business decisions.

8. Limitation of Liability

To the maximum extent permitted by law, AML shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to AML in the twelve months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, though audit data may be retained per our Privacy Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration.
